1. Agreement to Terms

By accessing or using Brainfile ("Service," "Platform") at brainfile.io, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms constitute a binding legal agreement between you and ECWE Ventures LLC ("Company," "we," "us," "our"), a limited liability company operating the Brainfile platform.

2. Description of Service

Brainfile is a subscription software-as-a-service (SaaS) platform that enables users to create, manage, and deploy personal AI context files — structured documents that help AI assistants better understand the user's preferences, background, and goals.

The Service includes:

• A web-based editor for building and managing brainfiles
• Templates and guided creation tools
• Export and delivery mechanisms for use with third-party AI systems
• Account management and subscription billing

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate, complete, and current information
• Maintain the security of your password and account credentials
• Promptly notify us at [email protected] of any unauthorized access or security breach
• Accept responsibility for all activity under your account

You must be at least 18 years old to create an account. By registering, you represent that you meet this requirement.

4. Subscription and Billing

4.1 Subscription Plans

Brainfile offers recurring subscription plans on a monthly or annual basis. Current pricing is displayed on the Brainfile website and may be updated with 30 days' notice to existing subscribers.

4.2 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. By subscribing, you authorize us to charge your payment method on a recurring basis.

4.3 Payment Processing

All payments are processed by Stripe, Inc. We do not store your full payment card information. Your use of payment services is subject to Stripe's terms and privacy policy.

4.4 Failed Payments

If a payment fails, we may retry the charge and will notify you by email. Access to the Service may be suspended if payment cannot be collected after reasonable attempts.

5. Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at [email protected]. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until that date.

We reserve the right to terminate your account for violation of these Terms. In cases of termination for cause, no refund will be issued.

6. Intellectual Property

6.1 Our Platform

The Brainfile platform, including its software, design, features, trademarks, logos, and documentation, is owned by ECWE Ventures LLC and protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or reverse-engineer any part of the platform without our express written permission.

6.2 Your Content

You own your brainfile content. All text, data, and materials you create or upload through the Service ("User Content") remain your intellectual property. We claim no ownership over your User Content.

By using the Service, you grant ECWE Ventures LLC a limited, non-exclusive, royalty-free license solely to store, transmit, and display your User Content as necessary to provide the Service to you. This license terminates when you delete your content or close your account.

6.3 Feedback

If you submit suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, worldwide license to use that feedback without compensation or attribution.

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Infringe the intellectual property rights of others
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Scrape, crawl, or harvest data from the Service in an automated manner
• Resell or sublicense access to the Service without written authorization
• Use the Service for any unlawful, deceptive, or fraudulent purpose

8. Third-Party Services

The Service integrates with or relies on third-party services including Stripe (payments), Cloudflare (hosting and security), and Beehiiv (email communications). Your use of those services is subject to their respective terms and policies. We are not responsible for the practices of third-party services.

Brainfile is designed to produce context files for use with third-party AI systems (such as ChatGPT, Claude, etc.). We have no control over and are not responsible for the behavior of those AI systems.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We do not warrant the accuracy, completeness, or usefulness of any content generated or produced through the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ECWE VENTURES LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

11. Indemnification

You agree to indemnify and hold harmless ECWE Ventures LLC and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.

12. Privacy

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference.

13. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email and update the "Effective date" at the top of this page. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the state of Delaware, without regard to conflict of law principles. Any dispute arising from these Terms or the Service shall be resolved through binding arbitration on an individual basis (not as a class action) under the rules of the American Arbitration Association, unless both parties agree otherwise in writing.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction.

15. Miscellaneous

These Terms constitute the entire agreement between you and ECWE Ventures LLC regarding the Service and supersede all prior agreements. If any provision is found unenforceable, the remaining provisions remain in full force. Our failure to enforce any right is not a waiver of that right.
